Terms & Conditions

• "Client," "You," or "Your" refers to the individual, company, or legal entity engaging Cyber Drift for Services or utilizing our Products.
• "Services" refers to the custom technology solutions we provide, including but not limited to Custom SaaS Development, Web & Mobile Application Development, AI & Automation Systems, and Cloud & Data Services.
• "Products" refers to proprietary software and hardware developed by Cyber Drift, specifically including Enlock (Secure Cloud Storage) and Statflip (IoT Real-Time Data Clock).
• "Deliverables" refers to the final custom software, code, or digital assets provided to the Client under a specific agreement.

As a technology partner, we deliver bespoke solutions. The general use of our Services is subject to the following:

• Master Service Agreements (MSA): Specific custom development projects will be governed by a separate, detailed Master Service Agreement and/or Statement of Work (SOW). In the event of a conflict between these Terms and an executed SOW, the SOW shall prevail.
• Client Responsibilities: To ensure reliable execution, the Client agrees to provide timely access to necessary information, APIs, third-party credentials, and feedback required for project completion.
• No Overpromising: We commit to timelines and technical scopes outlined in our SOWs. Material changes to the scope requested by the Client will require a formal change order and may impact timelines and costs.

Use of our proprietary ecosystem is governed by these specific provisions:

• Enlock (Cloud Storage): Enlock is built on distributed architecture for maximum privacy. While we utilize state-of-the-art multilevel encryption, you are solely responsible for maintaining the confidentiality of your user-controlled encryption keys. Cyber Drift cannot recover lost encryption keys.
• Statflip (IoT Device): Statflip relies on continuous connectivity to third-party APIs (e.g., Instagram, YouTube). Cyber Drift is not liable for service interruptions to the Statflip device caused by changes, rate limits, or deprecations enforced by these third-party API providers.

• Background IP: Cyber Drift retains all ownership and intellectual property rights to our pre-existing code, libraries, frameworks, tools, and proprietary products (Enlock and Statflip).
• Client Deliverables: Upon full and final payment for custom Services, Cyber Drift grants or transfers the intellectual property rights of the specific custom Deliverables to the Client, as explicitly defined in the project's SOW.
• Brand Assets: The Cyber Drift logo, name, and related brand marks are the exclusive property of Cyber Drift Solutions Private Limited and may not be used without prior written consent.

• Fees: Fees for Services and Products will be set forth in the applicable invoice, quote, or SOW.
• Taxes: All stated prices are exclusive of applicable taxes (such as GST), which will be added to your invoice as required by Indian law.
• Late Payments: Cyber Drift reserves the right to suspend Services, withhold Deliverables, or pause API access for Statflip/Enlock accounts in the event of unpaid invoices exceeding 15 days past the due date.

• "As-Is" Provision: While we strive for absolute quality and reliability, our website and proprietary Products are provided on an "as-is" and "as-available" basis without any warranties of any kind, either express or implied, including warranties of merchantability or fitness for a particular purpose.
• Custom Services: Warranties for custom software Deliverables (including bug-fixing periods and ongoing support) will be strictly defined in your individual SOW.

To the maximum extent permitted by applicable law, Cyber Drift Solutions Private Limited, its directors, employees, or partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services or Products.
• Any unauthorized access, use, or alteration of your transmissions or content.
• Any failure of third-party integrations or APIs.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms, our Services, or our Products shall be subject to the exclusive jurisdiction of the competent courts located in Vadodara, Gujarat, India.

We reserve the right to modify or replace these Terms at any time. We will provide notice of any material changes by posting the updated Terms on this website. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
